Welcome to urbansky.com (the "Site"), operated by Urban Sky Research, Inc. ("Urban Sky," "we," "us," or "our"). By accessing or using the Site, you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, please do not use the Site.
1. Use of the Site
The Site is provided for informational purposes about Urban Sky's products, services, and technology. You agree to use the Site only for lawful purposes and in accordance with these Terms.
You agree not to:
- Use the Site in any way that violates applicable federal, state, local, or international law or regulation.
- Attempt to gain unauthorized access to any portion of the Site, other accounts, computer systems, or networks connected to the Site.
- Use any automated means (including bots, scrapers, or spiders) to access or collect data from the Site without our prior written consent.

"Urban Sky" and associated logos, product names, and trademarks appearing on the Site are trademarks of Urban Sky Research, Inc. You may not use any of these marks without our prior written permission.
You may view and download materials from the Site for your personal, non-commercial use only, provided you retain all copyright, trademark, and other proprietary notices. Any other use, reproduction, distribution, modification, or creation of derivative works is strictly prohibited without our express written consent.
3. Product and Service Information
The Site contains information about Urban Sky's stratospheric balloon platforms, data products, and related services. All product descriptions, specifications, images, and other information are provided for general informational purposes only and are subject to change without notice.
Nothing on the Site constitutes an offer to sell or a solicitation of an offer to buy any product or service. Specific product availability, pricing, and terms of service are subject to separate agreements.
4. Contact Form Submissions
When you submit information through our contact form, you represent that the information you provide is accurate and complete. We are not obligated to respond to all inquiries, though we make reasonable efforts to do so. Any ideas, suggestions, or feedback you voluntarily submit to us through the Site may be used by Urban Sky without restriction or obligation to you.

The Site may contain links to third-party websites or services that are not owned or controlled by Urban Sky, including our careers platform (Greenhouse), social media profiles (LinkedIn, Instagram), and other external resources. THE SITE AND ALL CONTENT, MATERIALS, AND INFORMATION PROVIDED ON OR THROUGH THE SITE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
TO THE FULLEST EXTENT PERMITTED BY LAW, URBAN SKY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.
URBAN SKY DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT ANY DEFECTS WILL BE CORRECTED.
7. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL URBAN SKY RESEARCH, INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SITE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF URBAN SKY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL URBAN SKY'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SITE EXCEED ONE HUNDRED DOLLARS ($100.00).
8. Indemnification
You agree to defend, indemnify, and hold harmless Urban Sky Research, Inc., its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Site, your violation of these Terms, or your violation of any rights of another party.
9. Export Control and Government Regulations
Urban Sky's products and technology may be subject to U.S. export control laws and regulations, including the International Traffic in Arms Regulations (ITAR) and the Export Administration Regulations (EAR). You agree not to export, re-export, or transfer any information, technology, or materials obtained from the Site in violation of any applicable export control laws or regulations.
10. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the State of Colorado, without regard to its conflict of law provisions. Any legal action or proceeding arising out of or relating to these Terms or the Site shall be brought exclusively in the federal or state courts located in the City and County of Denver, Colorado. You consent to the personal jurisdiction of such courts.
11. Changes to These Terms
We reserve the right to modify or replace these Terms at any time at our sole discretion. When we make changes, we will update the "Last Updated" date at the top of this page. Your continued use of the Site after any changes constitutes your acceptance of the new Terms. We encourage you to review these Terms periodically.
12. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
13. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Urban Sky regarding your use of the Site and supersede all prior agreements and understandings, whether written or oral.

Purchase Order Terms & Conditions

These quality requirements apply to any Purchase Order (PO) issued by Urban Sky to external suppliers (“Supplier”). Acceptance of the PO constitutes full agreement to these terms. Questions may be directed to Urban Sky at the contact listed on the PO.
1. Scope & Technical Data
Supplier shall deliver products, services, and/or processes per the PO in conformance with all referenced specifications, drawings, and applicable requirements. Supplier shall review all technical data before accepting the PO and notify Urban Sky of any conflicts or inability to comply.
2. Quality Management System
Supplier shall implement and maintain a quality management system appropriate to the scope and complexity of work performed. Evidence of implementation shall be made available to Urban Sky upon request.
3. Supplier Performance Monitoring
Urban Sky monitors supplier performance including on-time delivery and nonconformance rates. Urban Sky uses this data to support continuous improvement and to maintain strong supplier partnerships.
4. Sub-Tier Control & Designated Sources
Supplier shall flow down all applicable PO requirements to its sub-tier suppliers. Where Urban Sky or Urban Sky’s customer designates specific sub-tier suppliers or special process sources, Supplier shall use only those designated sources for the applicable scope.
5. Approval of Products, Processes & Methods
Urban Sky written approval is required for: (a) first articles or qualification samples where specified by technical data or other agreement; and (b) adopting new or modified manufacturing methods, processes, or equipment that could affect product conformance, safety, or quality. Where applicable, Supplier shall apply controls to any special requirements, critical items, and key characteristics as defined in the technical data.
6. Personnel Competence
Personnel performing work under this PO shall meet all qualification and certification requirements identified in the PO, technical data, or Supplier’s quality management system.
7. Inspection, Test & Verification
Supplier shall inspect and test products to verify conformance before delivery when specified by the PO or technical data. Inspection and test records shall be available on request. Where Urban Sky specifies a sampling plan for product acceptance, Supplier shall apply it as directed. Urban Sky, Urban Sky’s customer, and applicable regulatory authorities may perform source inspection and verification activities at Supplier’s facility if provided written notice.
8. Change Notification & Approval
Supplier shall notify Urban Sky and obtain written approval before implementing any change that could affect the form, fit, function, performance, safety, or quality of the delivered product or service. This includes changes to processes, materials, sub-tier suppliers, manufacturing location, or applicable specifications. Supplier shall also notify Urban Sky of similar changes initiated by its own sub-tiers.
9. Nonconforming Product & Counterfeit Parts
Supplier shall notify Urban Sky within two (2) business days of discovering any nonconformance in delivered or in-process product, and obtain written disposition before shipment or continued use. Supplier shall procure parts only from authorized sources and take all reasonable steps to prevent counterfeit or suspect-counterfeit items from entering the supply chain. Suspected counterfeit items shall be quarantined and reported to Urban Sky immediately.
10. Records, Traceability & Test Specimens
Supplier shall maintain traceability throughout manufacturing and retain all quality records for a minimum of three (3) years from shipment, or as otherwise specified on the PO. Supplier shall provide test specimens or production samples upon Urban Sky’s request for inspection, investigation, or auditing purposes.
11. Right of Access
Urban Sky, Urban Sky’s customer, and applicable regulatory authorities shall have the right of access to applicable facilities, processes, and documented information at any level of the supply chain at any time upon reasonable notice.
12. Design Control
Where Supplier performs design or development activities under this PO, Supplier shall maintain appropriate design controls consistent with its quality management system and any Urban Sky-specified requirements. Design outputs are subject to Urban Sky review and written approval prior to release.
13. Personnel Awareness
Supplier shall ensure that personnel performing work under this PO are aware of: (a) their contribution to the conformity of products and services delivered to Urban Sky; (b) their contribution to product safety; and (c) the importance of ethical behavior, including the obligation to report nonconformities.
